Comments regarding practice areas EMPLOYMENT & COMPENSATION (E&C)
Our Employment and Compensation lawyers work collaboratively within our Global Employment practice to help clients plan and implement globally effective, locally compliant labor, employment and compensation strategies. With more than 500 locally qualified lawyers, our Global Employment practice is consistently ranked among the world’s best, with more leading lawyers in more countries than any other law firm. We provide domestic and international employment counseling; represent clients in litigation; advise and help with unionizing activities, dealings with works councils, and collective bargaining; facilitate global management of migration and mobility compliance, including advising on expatriate assignments and securing visas; design, implement, and advise on the compliance and administration of all types of domestic and global employee benefits, executive compensation and equity compensation programs. We also advise on all employment and benefits-related aspects of mergers and acquisitions, spin-offs and divestitures, post-acquisition integrations of newly acquired businesses, as well as outsourcing or other specific arrangements.

INTERNATIONAL COMMERCIAL (IC)
The International Commercial practice group helps clients overcome the challenges associated with selling goods and services internationally; as well as help them successfully compete in the world's developed and emerging markets. We advise major industrial, financial services, technology, consumer products, pharmaceutical and energy companies on sourcing, manufacturing, distributing and selling their products and services around the world. We also help clients select, monitor and manage their relationships with the third-party suppliers, manufacturers, distributors and sales agents in their supply chains.

Trade and Commerce sub-group
We advise companies on sourcing, manufacturing, distributing and selling their products and services around the world. We help clients structure, select, negotiate, implement, monitor and manage their relationships with third-party suppliers, manufacturers, distributors and sales agents and advise them on compliance issues across the supply chain spectrum such as anti-corruption, anti-bribery, trade sanctions, export and import controls (customs) as well as, product labeling requirements, product liability and recalls, and sales promotion and marketing rules across multiple countries.

INTELLECTUAL PROPERTY/TECHNOLOGY (IPTech)
We leverage our global resources and extensive experience to help clients grow and protect the value of their intellectual property anywhere in the world. We provide integrated and coordinated advice on intersecting issues of IP ownership, licensing, development, use, sale or acquisition, migration and protection issues during the most intricate cross-border deals or amid changes in your corporate environment. With nearly 400 IP professionals, we offer responsive support in emerging and established markets worldwide. Our deep understanding of local business matters, compliance regulations, and other legal nuances enables us to assist clients execute transactions efficiently, and realize commercial goals while preserving or optimizing the value of their IP.

Privacy and Technology sub-group
We offer a full range of advisory, transactional, and crisis management services in the privacy, data security, and information technology space. We leverage our broad global reach and deep industry knowledge to help clients remain innovative and profitable in this quickly evolving area. Our practice involves helping major players and high growth companies navigate complex legal and commercial risks in social media, data analytics, cloud computing, and other business transformations, as well as in settings where privacy conflicts with other compliance concerns (e.g., internal investigations and e-discovery). We have pioneered novel structures for new technology offerings and effected complex cross-border transactions seamlessly. Our lawyers bring to bear deep local know-how worldwide to help design sound compliance programs so you can protect critical business interests.




LITIGATION & GOVERNMENT ENFORCEMENT (LGE)
Our North America Litigation & Government Enforcement Practice Group coordinates with colleagues from around the world to deliver results both domestically and abroad. Our team is comprised of more than 160 lawyers in nine offices across North America. Our partners and associates focus on a number of areas, including Antitrust (litigation and merger work); Appellate; Commercial Litigation (trade secrets, breach of fiduciary duty); Class Actions; Cyber Security; International Arbitration; Government Enforcement (white collar crime, investigations and securities litigation); and Product Liability. In addition, our practice group is segmented to closely track a number of targeted industries, including Aerospace & Defense, Banking & Finance, Pharmaceuticals & Healthcare, and False Claims Act & Government Contracting. Our litigation team is typically sought to represent US and non-US persons and businesses in complex commercial disputes, including those matters pending in state and federal courts throughout the United States, and in arbitrations around the world. Our team is fully integrated with our Global Dispute Resolution practice, which has more than 850 lawyers globally. Through this structure, our practitioners provide coordinated and integrated litigation services both nationally and internationally – a factor of increasing importance to our clients.

TAX
Tax Controversy (Litigation) sub-group
We represent clients in federal tax controversies with the Internal Revenue Service during audit, in administrative resolution forums, and in litigation. Our practice involves a unique combination of two skill sets; we are skilled trial lawyers trained and experienced in advocacy in many forums and also knowledgeable tax practitioners able to apply highly technical rules to diverse facts. Our practice involves the engaging effort of controversy combined with the intellectual stimulation of solving complex technical problems. We typically represent multinational companies or individuals in matters of international and domestic U.S. tax law.

Tax Planning and Transfer Pricing sub-group
We advise U.S. and foreign companies on a wide range of international, corporate, and partnership tax issues. Our tax planning practice involves acting as special counsel for mergers and acquisitions, corporate integrations and divisions, joint ventures, and dispositions and public spin-offs. Our planning practice applies highly technical rules to our clients’ situations to effect the best tax treatment under the applicable legal authorities.

Transfer pricing generally involves working with legal authorities to develop profit allocation methods to attribute multinational companies’ profits between different countries. We advise multinational companies regarding their transfer pricing positions and effective approaches for supporting those positions. Our practice involves the entire life cycle of sustaining successful transfer pricing positions including planning, compliance, and defense.

TRANSACTIONAL
BANKING, FINANCE, MAJOR PROJECTS, REAL ESTATE and ENVIRONMENTAL subgroup
Banking and Finance sub-group
We help both domestic and international clients navigate cross-border and domestic financing across a broad range of industries. This requires our Banking & Finance lawyers to be experienced in both local and international banking and finance laws, regulations and customs, and to collaborate seamlessly across multiple jurisdictions to efficiently address complex finance issues simultaneously and in multiple markets. What does that mean in practice? Here are some examples of what our team members have been involved with recently:
• Traditional acquisition and portfolio company financing, both on behalf of lenders and syndicate members, as well as borrowers. These transactions are often in the $100M+ range and may require integration of companies in multiple jurisdictions, as well as the coordination of collateral and security in each of them
• Handling coordination of global custodial functions for the majority of the world's largest banks, and compliance with local regulatory regimes regarding custody matters in nearly every country in the world

Real Estate sub-group
Our global Real Estate team has been ranked as the world's best numerous years running by Euromoney magazine. With attorneys specializing in real estate matters in every financial center jurisdiction on the globe, Baker & McKenzie can offer services that no other firm can. As one example, our real estate team handles the full global property management function for several Fortune 100 corporations, and has been an integral part of several of the world's largest spinoffs and mergers in recent years, due to our ability to seamlessly manage all of the property matters relevant to those transactions from a central location, within one firm. In addition, our global platform leads to an outsized footprint on large traditional property transactions, as such transactions have increasingly become cross-border affairs. Baker & McKenzie's North American Real Estate group also has a large presence in the hotel and hospitality market, and has advised on hotel transactions in California, Chicago, Miami, New York and numerous other U.S. markets, as well as Mexico, St. Barth's and other places we wish we could visit more often.

Mergers, Acquisitions sub-group and Post-Acquisition Restructuring sub-group
Whether our M&A clients are buying or selling, entering into a joint venture or making a strategic investment, we work on every stage of the deal, from structuring, due diligence and negotiation through execution to implementation and post-deal integration. Our transactions are typically international in some form and range from mid-market acquisitions in one jurisdiction to billion dollar cross-border transactions between public companies in 100 jurisdictions.

Global Corporate Reorganizations and Spin Offs sub-group
Our Corporate Reorganizations practice is comprised of cross-border and interdisciplinary teams of corporate, tax, employment and commercial practitioners who regularly undertake internal corporate restructurings including spinoffs and post-acquisition integrations. Because of our history, experience and unique approach, we believe that we have expertise that is unmatched by any other law firm in the implementation of cross-border restructurings and spin-offs.
